LegalCents – Terms of Service
Effective Date: 1st January 2025
Welcome to LegalCents, a legal spend and budgeting platform for in-house legal teams. By accessing or using LegalCents, you agree to these Terms of Service ("Terms").
1. Platform Purpose
LegalCents is designed to help in-house legal teams manage budgets, track legal invoices and budget.
You may use the platform only for business purposes in connection with your organisation's legal matters.
2. User Access and Responsibilities
Each client organisation will be provided with user access for relevant in-house legal team members and external legal service providers.
As external legal service providers who have access to the platform, you are responsible for:
- Keeping your login credentials secure
- Using the platform in accordance with all applicable laws
3. Data Ownership and Use
All data entered into LegalCents (including budgets, invoices, and WIP reports) remains the property of the client organisation.
LegalCents will only access or process this data:
- As required to provide platform functionality and support to the relevant client organisation
- With the express permission of the relevant client organisation
4. Payment
Use of LegalCents is subject to the subscription or licensing agreement entered into with the client organisation. Fees are payable by the client organisation in accordance with that agreement.
5. Availability
We aim to provide uninterrupted access to LegalCents. Scheduled maintenance or service upgrades may result in brief outages.
6. Intellectual Property
The LegalCents platform and all related content, design, and code are owned by us. You may not copy, modify, or reverse engineer any part of the platform.
7. Termination
Access may be suspended or terminated if these Terms are breached or the service agreement ends.
8. Limitation of Liability
To the extent permitted by law,
(1) we are not liable for any indirect or consequential loss resulting from use of the platform and our liability; and
(2) our liability shall not exceed the payment received under the subscription or licensing agreement entered into with the relevant client organisation.
9. Governing Law
These Terms are governed by the laws of New South Wales, Australia.
